Platform Policy Document
This Policy Document governs your use of the Fuse API Hub or FusionX API Hub platform. Please read carefully.
1Overview
This Policy Document governs your use of the Fuse API Hub or FusionX API Hub platform ("Platform", "Service", "we", "us"). The Platform provides API gateway and marketplace services, enabling API providers ("Vendors") to publish and monetize their APIs, and enabling consumers ("Subscribers", "Buyers") to discover, subscribe to, and consume APIs through a unified gateway.
By accessing or using this Platform, you agree to be bound by all terms contained herein. If you do not agree to these terms, you must immediately cease use of the Service.
This document applies to all users regardless of role: Subscribers, Vendors, and Platform Administrators.
2Definitions
- Application:
- A third-party API service published on the Platform marketplace.
- Subscription:
- A contractual agreement granting access to an Application under a specific Plan.
- Plan:
- A pricing and feature tier associated with an Application, defining quotas, pricing, and duration.
- Quota:
- The maximum number of API requests permitted during a Subscription period.
- Overage:
- API usage exceeding the Quota limit, charged separately according to the Plan's per-request pricing. On User's request while subscribing
- PAYG (Pay-As-You-Go):
- A Plan type with no fixed Quota; all requests are billed at the per-request rate and non-refundable.
- Wallet:
- A Platform-managed account for Subscribers that holds FusionX Credits (FXC) used for purchasing Subscriptions and paying for API usage. Subscribers cannot withdraw FXC as fiat currency.
- FXC (FusionX Credits):
- Platform Credits (“FXC”) may be used exclusively by Subscribers to purchase Subscriptions and consume API usage on the Platform. FXC are not legal tender, do not represent stored value, and have no fixed or intrinsic monetary value. For reference only, the Platform may display an indicative conversion (e.g., 10 FXC ≈ 1 USD) at the time of purchase; such references do not imply a guaranteed or redeemable exchange rate. FXC top-ups are priced based on internal pricing determined at the time of purchase and may vary due to payment gateway fees and currency conversions FXC are non-transferable, non-refundable, and cannot be redeemed or exchanged for fiat or other monetary value. Vendors receive payouts in USD (or equivalent fiat), not FXC.
- Payout:
- The transfer of earned revenue from a Vendor's Payout Balance to their designated bank account or payment method.
- Endpoint Group:
- A logical collection of API endpoints with shared quota and rate limit configurations.
- UTC (Coordinated Universal Time):
- The standard time reference used by the Platform for all calculations, billing cycles, logging, enforcement actions, and policy interpretation. Unless otherwise explicitly stated, all dates, times, billing cycles, subscription start/end times, quota resets, rate-limit windows, logging timestamps, settlement windows, and policy timeframes are calculated and enforced using UTC. Displayed timestamps in the Platform dashboard may be converted to a user's local time for convenience, but UTC remains the authoritative source of truth.
3Acceptable Use Policy
3.1 Permitted Use
You may use the Platform solely for lawful purposes and in accordance with this Policy.
3.2 Prohibited Conduct
You may not:
- ✕Use the Platform to transmit malicious code, viruses, or harmful software.
- ✕Attempt to bypass, disable, or circumvent rate limits, quotas, or security measures.
- ✕Reverse-engineer, decompile, or extract routing logic or internal algorithms of the Platform.
- ✕Scrape, harvest, or collect user data without authorization.
- ✕Impersonate another user or entity, or misrepresent your affiliation.
- ✕Use the Platform to facilitate illegal activity, fraud, money laundering, or terrorism financing.
- ✕Publish APIs that violate third-party intellectual property, privacy rights, or applicable law.
- ✕Interfere with or disrupt the integrity or performance of the Platform or its infrastructure.
- ✕Share API keys, credentials, or subscription access with unauthorized parties.
3.3 Consequences of Violation
Violations may result in immediate suspension or termination of your account, forfeiture of Wallet balance, and legal action. We reserve the right to report illegal activity to law enforcement.
4Billing & Payments Policy
All billing, usage, and subscription calculations (including quota resets and renewal timings) are performed in UTC.
4.1 Payment Currency
For Subscribers: All payments and balances are denominated in FusionX Credits (FXC). At the time of top-up, 10 FXC approximately equals 1 USD. FXC is used exclusively for purchasing Subscriptions and paying for API usage. Subscribers cannot withdraw FXC as fiat currency.
For Vendors: Revenue, Payout Balances, and financial reporting are displayed in USD (approximate). Actual Payout amounts may vary based on exchange rates, currency conversion, and third-party fees at the time of withdrawal. Vendors do not hold or transact in FXC.
4.2 Subscription Charges
When you subscribe to a Plan, the full Plan price is immediately deducted from your Wallet. If your Wallet balance is insufficient, the transaction will fail. You must maintain adequate FXC balance before subscribing. For refund refer to Section 6.
4.3 Recurring Subscriptions
If you enable recurring billing, we will attempt renewal when the Subscription end date is on or before the current date. The Plan price will be charged to your Wallet on the renewal date. If your Wallet has insufficient funds and the renewal cannot be completed, the Subscription will be moved from Active to Expiring status. Once a Subscription is in Expiring, it will not automatically resume — you must manually resume the Subscription after topping up your Wallet. If the Subscription reaches its end date without being resumed, the API gateway for that Subscription will be closed and API requests will begin to fail until you resume the Subscription and successfully renew. You are solely responsible for maintaining sufficient Wallet balance to avoid service interruption. We do not provide advance renewal failure notifications. But once renewal fails, you will be notified via email.
4.4 Overage Charges
If you exceed your Plan's Quota and have enabled Allow Soft Limit, Overage charges will apply. Overage is calculated as: (Requests beyond Quota) × (Plan's price per request). Overage charges are deducted from your Wallet in real-time and settled to vendor in next 24hrs (max). If your Wallet balance falls below zero due to Overage, your Subscription may be blocked until payment is received or quota reset. Overage charges are non-refundable.
4.5 Pay-As-You-Go (PAYG) Plans
PAYG Plans have no Quota. Every API request is charged at the Plan's per-request rate. Charges are locked in your Wallet after each request and aggregated and charged post 24hrs from the call is made. You must maintain sufficient Wallet balance at all times. Insufficient balance may result in request rejection.
Subscribers must maintain Wallet balance sufficient to cover locked usage at all times. The Platform ensures locked usage cannot exceed available balance.
4.6 Coupons and Discounts
Coupons may apply discounts to Plan prices. Coupons are subject to availability, expiration dates, usage limits, and Plan eligibility by Vendor. Once a coupon is applied to a Subscription, the discount applies only to the initial purchase. Unless explicitly marked as renewable, coupons do not apply to recurring billing cycles. Coupons have no cash value and cannot be transferred or refunded. Discount are still applicable for per request charges (overage and PAYG).
4.7 Platform Fees
The Platform deducts a service fee from Vendor payout amounts and certain usage revenues before crediting Vendor payouts. The exact fee percentage is determined by the Platform and may vary. Platform Fees represent Platform revenue.
Separately, when Subscribers top up their Wallet, third-party payment processors and currency conversion (FX) spreads may apply fees or result in exchange losses. These top-up/transaction fees and FX losses are charged by the payment provider or result from exchange rate spreads and are not retained by the Platform as profit. They may be deducted at the point of top-up or reflected in the credited FXC amount as conversion rate.
4.8 Payment Methods
Subscribers may top up their Wallet (in FXC) using supported payment methods, which may include credit/debit cards, or other methods as designated by the Platform. Payment processing is handled by third-party providers. We are not responsible for payment gateway failures, declined transactions, or delays.
4.9 Wallet Withdrawals
Subscribers may not withdraw FXC from their Wallet. See Section 5 for Vendor Payout terms.
4.10 Chargebacks
If you initiate a chargeback through your payment provider, your account will be immediately suspended, and all active Subscriptions terminated. You will be liable for all costs incurred by the Platform, including chargeback fees, legal fees, and lost revenue. Chargebacks constitute a material breach of this Policy.
4.11 Partial Refunds for Usage
Plan fees are non-refundable except as explicitly provided in Section 6 (Refund Policy). Partial usage does not entitle you to a prorated refund unless you qualify under Section 6.
4.12 Tax Obligations
You are solely responsible for all taxes, duties, and fees associated with your use of the Platform. The Platform does not collect or remit taxes on your behalf unless required by law. Prices displayed exclude applicable taxes unless stated otherwise.
5Vendor Revenue & Payout Policy
5.1 Revenue Recognition
When a Subscriber purchases a Subscription to your Application, the Plan price (minus Platform Fees) is credited to your Earning Balance in USD (approximate). Revenue from Overage and PAYG usage is batched and credited once in 24hrs of request, minus Platform Fees. All Vendor revenue and balances are denominated in USD approximation, not FXC.
5.2 Payout Balance vs Earning Balance vs. Wallet Balance
Your Payout Balance (in USD approx) represents funds eligible for withdrawal to your bank account. Your Wallet Balance is used only to buy APIs if you are also a Subscriber (in FXC). Only Payout Balance may be withdrawn via Payout requests.
Your Earning Balance (in USD approx) represents total revenue earned from Subscribers with active subscriptions which will be settled to your Payout Balance on subscription ends/renewed. Overage and PAYG revenues are settled directly to your Payout Balance once in 24hrs of request. Platform Fees are deducted
5.3 Payout Timing
Payouts are initiated by the Platform by end of the month; Payouts are executed when your Payout Balance meets the requested minimum withdrawal threshold (≥$10 default). All payouts are subject to manual review by Platform administrators. Processing time is typically 5-14 business days from platform admins confirmation, but may be longer depending on payment method and jurisdiction. Payouts are executed after any required compliance checks; currency conversion may be applied at the time of approval and the final Payout amount will reflect any conversion and processing fees.
5.4 Auto-Withdraw Threshold
You may configure an auto-withdraw threshold. When your Payout Balance reaches this amount, a Payout will be initiated on the next month end.
5.5 Beneficiary Information
To receive Payouts, you must provide complete and accurate beneficiary information, including legal name, address, bank account details, and required identity verification documents (if requested). Incomplete or incorrect information will result in Payout rejection. You are solely responsible for ensuring this information is current and accurate.
By providing beneficiary information, you expressly consent to its collection, verification, storage, and disclosure to payout processors solely for the purpose of executing payouts.
5.6 Payout Fees and Currency Conversion
Payout processing may incur third-party fees (bank fees, transfer fees, currency conversion fees). Your Payout Balance is displayed in approximate USD and will be converted to your local currency at the time of Payout based on prevailing exchange rates. These fees and any exchange rate variance are deducted from the Payout amount.
Even if you request a Payout in USD, the Platform may need to convert funds from the Platform's settlement currency to USD to fulfill the request; such conversions attract currency conversion charges and may alter the final amount. All conversion steps, third-party fees, and exchange rate differences are the Vendor's responsibility and will be deducted from the Payout.
5.7 Payout Holds and Reserves
The Platform reserves the right to hold or delay Payouts if: (a) there is suspected fraud, abuse, or policy violation; (b) chargebacks or refund requests are pending; (c) your account is under review; or (d) required by law or regulatory authority. Held funds will be released upon resolution of the issue or as required by law. Proper email notification will be provided in such cases.
5.8 Vendor Liability for Refunds
If a Subscriber is granted a refund under Section 6, the refund amount (including Platform Fees) will be deducted from your Earning Balance (in USD). You are financially responsible for all approved refunds.
5.9 Taxation and Reporting
You are solely responsible for reporting and paying all taxes on revenue earned through the Platform. The Platform may provide transaction records if requested but does not provide tax advice or file tax returns on your behalf. You must comply with all applicable tax laws in your jurisdiction.
5.10 Payout Proof
Upon completion of a Payout, the Platform will saves proof of payment (transaction ID or receipt) from payout processor. This proof is the sole record of Payout. Disputes regarding Payout amounts or timing must be raised within 30 days of the Payout date. If you need additional documentation for tax or accounting purposes, you must request it.
5.11 Supported Payout Regions & Payment Provider Limitations
All Vendor payouts are processed exclusively through our payout partner Instarem.
Vendors are responsible for verifying that Instarem supports payouts to their country and financial institution before enabling monetization.
- •If Instarem does not support payouts to your region, we cannot process your withdrawal.
- •Your Payout Balance will remain on hold until you provide payout details that are compatible with Instarem.
- •The Platform is not responsible for delays caused by unsupported countries, incomplete onboarding, or regulatory restrictions.
- •The Platform does not offer alternative payout methods.
5.12 Unclaimed or Unpayable Payouts
If a Vendor fails to provide valid payout information for more than 12 months, or their region remains unsupported by Instarem, the funds may be classified as unclaimed and handled according to applicable abandoned property laws. We will make reasonable attempts to notify the Vendor via email before taking action.
6Refund Policy
6.1 General Rule: Refunds Allowed Under Specific Conditions
Subscribers may cancel their Subscription at any time. Refunds are not guaranteed and are issued only under the conditions explained in this Section 6.
6.2 Eligibility for Refund
A refund request may be approved if:
- ✓The Application is non-functional or experiences critical downtime exceeding 95% of the Subscription period.
- ✓The Vendor permanently discontinues the Application within the first 30 days of the Subscription or fails to deliver the promised service.
- ✓You were charged incorrectly due to a Platform billing malfunction (excluding user errors).
- ✓The Platform approves the request under exceptional circumstances, evaluated on a case-by-case basis.
- ✓The Vendor force-deletes an endpoint, force-updates an endpoint, or force-modifies/deletes a plan or endpoint group in a way that makes the Subscription unusable or materially different from what was originally purchased. In such cases, the plan will be canceled automatically and a refund request will be created.
6.3 Refund Calculation
Refunds are calculated using: Refund Amount = Paid Amount × (1 - Usage Ratio).
Usage Ratio = (Used Units) / (Total Units Available during the billing period).
PAYG plans always have a Usage Ratio of 1, so refunds do not apply.
Vendors may adjust the final refund amount within the Platform's fairness window (approximately ±25% around the suggested refund amount). Any proposed refund outside this range is automatically rejected.
If the Vendor disagrees with the suggested refund but wants to dispute it, they must escalate the request to the Platform support team within 7 days. After the 7th day, escalation is not possible.
If the Vendor does not take any action — neither approving, adjusting, nor escalating — within 7 days, the Platform will automatically issue the suggested refund amount to the Subscriber. This auto-refund is final and cannot be reversed, modified, or challenged.
Minimum refundable amount is 0 FXC.
6.4 Refund Request Process
A refund request is automatically generated when a Subscriber cancels a plan, switches plans, or when the Vendor performs a force action (deleting or modifying endpoints, plans, or endpoint groups) that impacts active Subscriptions. No additional manual steps are required from the Subscriber. On such impactful Vendor actions, the subscription will be canceled.
6.5 Refund Method
Approved refunds are credited to the Subscriber's Wallet in FXC. Refunds are not returned to external payment methods. Refunded FXC is non-withdrawable and may only be used for future Subscriptions.
6.6 No Refunds for Violations
If your account or Subscription is suspended or terminated due to policy violations, you are not eligible for a refund, regardless of remaining usage.
7Endpoint & Routing Policy
7.1 Gateway Function
The Platform acts as an intermediary gateway, routing API requests from Subscribers to Vendor-hosted Applications. We do not host or control the underlying Application APIs.
7.2 Rate Limits
Each Plan defines rate limits per Endpoint Group. Rate limits specify the maximum number of requests permitted within a time interval (e.g., requests per second, per minute). Exceeding rate limits will result in request throttling or rejection with an HTTP 429 status code. Rate limits are enforced in real-time by the Platform.
7.3 Quotas
Quotas specify the total number of requests allowed during a billing period. Quota enforcement is independent of rate limits. If you exceed your Quota and have not enabled Allow Soft Limit, further requests will be rejected with an HTTP 403 status code until the next billing period or Quota reset.
7.4 Endpoint Groups
Applications may organize endpoints into Endpoint Groups. Each Group has its own rate limit and quota configurations. Consuming requests from one Group does not affect the quota or rate limit of another Group.
7.5 Request Routing and Technical Limitations
The Platform routes requests based on path matching, HTTP method, and Subscription entitlements. You may not reverse-engineer, probe, or attempt to jail break the service.
7.6 Timeout Policy
Requests are subject to timeout limits set by the Platform. Timeouts caused by Vendor-side latency count against quota. Timeouts caused by Platform internal errors do not. We are not responsible for timeout-related failures caused by Vendor-side latency. Timeout is 30sec. This timeout applies universally across all Applications unless the Platform explicitly introduces Vendor-configurable timeouts in future.
7.7 No Guaranteed Uptime
The Platform does not guarantee 100% uptime or availability. Scheduled maintenance, outages, and third-party failures may occur. We are not liable for downtime except as provided in Section 6 (Refund Policy) and Section 10 (Liability Disclaimer).
8Data Logging & Retention
8.1 Request Logging
The Platform logs all API requests passing through the gateway, including: request headers, query parameters, request body, response headers, response body, status codes, latency, timestamp, and Subscriber identity. Logs are used for billing, analytics, debugging, security, and compliance purposes.
Timestamps recorded in logs are in UTC and serve as the authoritative time reference for billing, quota resets, rate limiting, settlement windows, and dispute timelines.
8.2 Log Access
Subscribers may access logs for their own Subscriptions through the Platform dashboard. Vendors may access aggregated analytics and logs for requests to their Applications. Platform administrators have full access to all logs.
8.3 Log Retention
Logs are retained for a minimum of 90 days and a maximum of 2 years, or as required by applicable law. After the retention period, logs may be deleted or archived. You may not request log deletion during the retention period except as required by GDPR or CCPA (see Section 9).
8.4 Sensitive Data
You must not transmit passwords, credit card numbers, social security numbers, or other highly sensitive personal data through the Platform unless encrypted end-to-end by your Application. The Platform does not filter or redact sensitive data from logs. You are solely responsible for protecting sensitive data. The Platform may introduce additional data-masking or logging-reduction features after launch, but until then Vendors are fully responsible for ensuring sensitive data is not transmitted.
9Privacy & Compliance
9.1 GDPR Compliance (European Users)
If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, the General Data Protection Regulation (GDPR) applies. The Platform acts as a Data Controller for account and billing data, and as a Data Processor for API request logs. You have the right to: access your personal data; rectify inaccurate data; request deletion (right to be forgotten); restrict or object to processing; and data portability. To exercise these rights, contact us at [email protected]. We will respond within 30 days.
9.2 CCPA Compliance (California Users)
If you are a California resident, the California Consumer Privacy Act (CCPA) applies. You have the right to: know what personal information we collect; know whether we sell or share your information (we do not sell personal information); request deletion of your information; and opt-out of sales (not applicable). To exercise these rights, contact us at [email protected]. We will respond within 45 days.
9.3 Data Sharing
We may share your data with:
- •(a) Vendors whose Applications you subscribe to, limited strictly to request/response data, usage metrics, and an internal Subscriber identifier (like platform unique username). We do not share your email, billing information, address, payment details, or other personal contact information with Vendors or other users.
- •(b) Payment processors, for handling billing and transaction processing.
- •(c) Cloud infrastructure providers, solely for storage and processing required to operate the Platform. Cloud providers do not have permission to access readable content.
- •(d) Law enforcement or regulatory authorities as required by law.
We do not sell your personal data to third parties for marketing or advertising purposes.
9.4 International Data Transfers
Your data may be transferred to and processed in countries outside your jurisdiction, including countries that may not have equivalent data protection laws. By using the Platform, you consent to such transfers.
9.5 Law Enforcement Requests
We will comply with valid legal requests from law enforcement, courts, and government agencies. This may include disclosure of account information, logs, payment records, and communications. We will notify you of such requests unless legally prohibited.
9.6 Data Breach Notification
In the event of a data breach affecting your personal information, we will notify you within 72 hours of discovering the breach, or as required by applicable law. Notification will include the nature of the breach, affected data, and remediation steps.
9.7 Children's Privacy
The Platform is not directed to children under the age of 13, and we do not knowingly collect personal information from anyone under 13. Users aged 13 to 17 may use the Platform with the consent of a parent or legal guardian and may purchase API subscriptions. However, only users 18 years and older may act as Vendors, create paid API plans, earn revenue, receive payouts, or access features related to monetization.
9.8 Retention of User-Generated Content After Account Deletion
When you request deletion of your personal data or your account, certain user-generated content may be retained because it is required for Platform functionality, historical accuracy, Vendor billing, or legal compliance. This includes, but is not limited to:
- •API reviews and ratings
- •Application discussions and support threads
- •Public comments
- •API usage logs required for billing, fraud prevention, security, or compliance auditing
All retained content will be anonymized and detached from your personal identity. Your name, email, account identifiers, payment information, IP history, and other personal data will be removed or replaced with a non-identifying label such as "Deleted User" or "Anonymous".
Retaining anonymized content ensures that Vendors maintain accurate billing records, technical discussions remain intact for future users, and the Platform preserves data integrity without exposing your personal information. See Section 12.6 for additional deletion and anonymization details.
10Security Policy
10.1 Security Measures
We implement industry-standard security controls to protect the Platform and your data, including encryption in transit and at rest, access controls, authentication mechanisms, and monitoring systems.
10.2 API Key Security
You are solely responsible for safeguarding your API keys and credentials. Do not share API keys, embed them in public repositories, or expose them in client-side code. If your API key is compromised, you must immediately rotate it through the Platform dashboard.
10.3 Vulnerability Reporting
If you discover a security vulnerability in the Platform, you must report it to [email protected] immediately. Do not publicly disclose vulnerabilities before they are resolved. We will acknowledge receipt within 48 hours and provide updates on remediation.
10.4 No Security Guarantee
While we employ security best practices, no system is 100% secure. We do not guarantee that the Platform will be free from security breaches, unauthorized access, or vulnerabilities. See Section 11 for liability limitations.
11Liability Disclaimer
11.1 Service Provided "As-Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
11.2 No Warranty of Availability or Accuracy
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT, DATA, OR RESULTS OBTAINED THROUGH THE PLATFORM.
11.3 Third-Party Applications
The Platform does not alter, modify, reformat, or interpret Vendor Application responses beyond what is technically required for request forwarding, metering, rate-limit enforcement, timeout enforcement, or billing. All such operations are automated gateway-layer functions and do not constitute control over the Vendor Application itself.
Any routing, matching, throttling, or timeout enforcement performed by the Platform applies solely to traffic passing through the gateway and does not modify the Vendor's underlying API logic, data processing, or output. Vendors remain solely responsible for their API behavior, uptime, data accuracy, and compliance obligations.
11.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
11.5 Indemnification
You agree to indemnify, defend, and hold harmless the Platform, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of this Policy; (c) your violation of any law or regulation; or (d) your infringement of any third-party rights.
11.6 Force Majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet outages, or failures of third-party services.
12Termination Policy
12.1 Termination by User
You may terminate your account at any time from your user profile section under Security tab. Upon termination, all active Subscriptions will be canceled. No refunds will be issued except as provided in Section 6. Your Wallet balance will be forfeited unless you are a Vendor with Payout Balance, in which case you may request a final Payout within 30 days of termination by contacting support.
12.2 Termination by Platform
We may suspend or terminate your account immediately, with or without notice, if: (a) you violate this Policy; (b) your account is involved in fraudulent, illegal, or harmful activity; (c) you fail to pay amounts owed; (d) we are required to do so by law; or (e) we discontinue the Platform.
12.3 Effect of Termination
Upon termination: (a) your access to the Platform will be revoked; (b) all Subscriptions will be canceled; (c) your Wallet balance will be forfeited (except Vendor Payout Balance); (d) logs and data may be retained as required by law or for compliance purposes; and (e) provisions of this Policy that by their nature should survive (including liability disclaimers, indemnification, and dispute resolution) will remain in effect.
12.4 Account Deletion Timeline
When you request account deletion through the Platform, your account enters a 90-day pending deletion period. During this period:
- •Your account is deactivated but not permanently erased.
- •Any required data retention (billing, security, fraud-prevention, legal compliance) remains in effect.
- •You may not access the Platform unless you cancel the deletion request.
After 90 days, your account and personal data will be permanently deleted, except for information we are legally required to retain.
If you have an outstanding Payout Balance, you must claim it before deletion completes. Unclaimed Payouts after 90 days are considered abandoned.
This retention period is required for fraud prevention, accounting obligations, and audit compliance at least for a quarter.
12.5 Vendor Account Deletion Restrictions
Vendors may not delete their account while they have:
- •Active Applications
- •Active Subscribers
- •Pending Payouts
- •Outstanding disputes, chargebacks, or compliance reviews
Vendors must first remove all Applications from the marketplace and allow all active Subscriptions to expire or be refunded according to Section 6.
Once no active dependencies remain, the vendor may request account deletion, after which the standard 90-day deletion timeline applies.
12.6 Content Retention After Account Deletion
Deleting your account does not delete user-generated content required for Platform integrity, Vendor billing, historical discussions, or compliance. This includes items such as API reviews, application discussions, public comments, and API usage logs.
All such content will be anonymized and detached from your personal identity. Only your personal information (name, email, payout info, address, IP history, and account identifiers) will be deleted or anonymized.
For full details on post-deletion content retention, see Section 9.8 (Retention of User-Generated Content After Account Deletion).
13Policy Updates & Versioning
13.1 Right to Modify
We reserve the right to modify this Policy at any time. Changes will be effective immediately upon posting to the Platform unless otherwise stated. Material changes (e.g., changes to billing, refunds, or liability) will be announced via email or Platform notification at least 30 days in advance.
13.2 Acceptance of Changes
Your continued use of the Platform after changes are posted constitutes acceptance of the modified Policy. If you do not agree to the changes, you must immediately cease use and terminate your account.
13.3 Versioning
Each version of this Policy is identified by a "Last Updated" date at the top of this document. Previous versions are archived and available upon request for compliance and legal purposes.
14Dispute Resolution & Governing Law
14.1 Governing Law
This Policy and your use of the Platform shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.
14.2 Dispute Resolution
Any dispute arising from or relating to this Policy or the Platform shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in Malaysia under the rules of Asian International Arbitration Centre (AIAC). The arbitrator's decision is final and binding. You waive any right to a jury trial or class action. This waiver applies only to the extent permitted by applicable law.
14.3 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, including enforcement of intellectual property rights or confidentiality obligations.
